Terms of Service

These Terms of Service (“Terms”) govern your access to and use of adletco.com (the “Site”), any audits, deliverables, or consultations provided, and any engagement with AdletCo. AdletCo is a proprietary demand infrastructure studio headquartered in California, USA. By accessing the Site or engaging our services, you agree to be bound by these Terms.
1. The Studio
AdletCo designs and operates proprietary demand infrastructure — paid acquisition layers, custom web design, inbound capture systems, and organic authority programs — for a limited number of service-business partners each quarter. Engagements are offered at our sole discretion and are subject to a separate written agreement or statement of work.
2. Eligibility & Inquiries
The Site and our intake process are intended for business decision-makers. You represent that the information you submit is accurate and that you are authorized to share it on behalf of your company. Submitting an inquiry does not create an engagement; an engagement begins only upon execution of a written agreement.
3. Intellectual Property
All content, frameworks, methodologies, audit templates, copy systems, creative briefs, technical playbooks, dashboards, code, and studio assets made available through the Site or any engagement are the exclusive property of AdletCo and are protected by U.S. and international intellectual property laws.
You may not copy, reproduce, republish, reverse engineer, resell, sublicense, or create derivative works of any AdletCo materials — including our proprietary infrastructure frameworks, copy templates, and studio assets — without our express prior written consent. Limited usage rights for client-specific deliverables are granted only as explicitly set forth in your engagement agreement.
4. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or to infringe the rights of others.
- Scrape, harvest, or crawl any portion of the Site without authorization.
- Interfere with the security or integrity of the Site or its underlying systems.
- Attempt to access accounts, materials, or environments not intended for you.
5. Confidentiality
Information exchanged in the course of audits, calls, and engagements — including strategy, pricing, financials, and proprietary methodologies on either side — is considered confidential and may not be disclosed to third parties without consent, except as required by law.
6. Disclaimer of Warranties
The Site, audits, and any informational materials are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. AdletCo does not warrant any specific business outcome, revenue figure, lead volume, return on ad spend, or campaign result. Marketing performance is influenced by factors outside our control, including offer, market conditions, fulfillment, and client execution.
7. Limitation of Liability
To the maximum extent permitted by law, AdletCo, its principals, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, lost goodwill, or business interruption — arising out of or related to your use of the Site or any engagement, even if advised of the possibility of such damages.
In all cases, AdletCo’s aggregate liability for any claim arising out of or related to the Site or an engagement shall not exceed the fees actually paid by you to AdletCo for the specific services giving rise to the claim during the three (3) months immediately preceding the event. These limitations apply to all claims, whether in contract, tort, negligence, strict liability, or otherwise.
8. Indemnification
You agree to indemnify and hold harmless AdletCo and its team from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or third-party right.
9. Governing Law & Venue
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in California, and the parties consent to personal jurisdiction therein.
10. Changes & Contact
AdletCo may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance. Questions may be directed to oconmawl@adletco.com.
